Terms of Service (English)
This is a convenience translation of our German General Terms and Conditions (Allgemeine Geschäftsbedingungen). If the two versions differ, the German version governs.
General Terms and Conditions – Postel (SaaS)
Version: November 2025
1. Subject of the contract; parties (B2B)
(1) These Terms govern the customer's time-limited, paid (or, for testing, possibly free) use of the web-based software "Postel" at postel.app (the "Service").
(2) Postel is a web application for planning, creating and optimizing content for X (formerly Twitter) using AI-powered features (for example prompt management, generation and analysis, telemetry). The features and plans are described on the website and in the ordering process.
(3) Contracting party and provider:
JRS Content Solutions UG (haftungsbeschränkt), Bernauer Str. 65, 13507 Berlin, Germany, email: contact@postel.app (the "Provider").
(4) B2B clause. The Service is intended for businesses (entrepreneurs within the meaning of § 14 of the German Civil Code, BGB), not for consumers (§ 13 BGB). The customer confirms that it acts for business purposes when entering into the contract and when using the Service. If, by exception, services are offered to consumers, mandatory consumer rights also apply; conflicting clauses then apply only to the extent legally permitted.
(5) No affiliation with X/Twitter. Postel has no business relationship with X Corp. or Twitter Inc. Trademarks and logos are the property of their respective owners.
2. The Provider's services
(1) The Provider makes the Service available over the internet in its current, generally released version (no on-premise installation, no physical delivery).
(2) The Provider may develop the Service further, change, add or remove features, and roll out updates required for security or legal reasons; the customer's legitimate interests are taken into account appropriately.
(3) Documentation is provided online. Support is available by email or in the app (usually on working days, 9 am to 6 pm CET/CEST). Availability: target of 99% per month (excluding planned maintenance, force majeure, and third-party platforms and providers). There is no entitlement to specific SLA credits unless expressly agreed.
3. Registration, account, users
(1) The customer creates an account; authentication is possible via Google OAuth or X (Twitter) OAuth, among others. Profile data provided (for example email, name) must be accurate and up to date.
(2) The customer manages its users (seats) and is liable for their actions as for its own.
(3) Login credentials must be kept confidential. Any misuse must be reported without delay.
4. License and rights of use
(1) For the term of the contract, the customer receives a simple, non-transferable, non-sublicensable right to use the Service to the agreed extent (plan/seats).
(2) In particular, the following are not permitted: reverse engineering, scraping, automated mass crawling, load testing without consent, circumventing security measures, quotas or rate limits, and use outside the customer's own business purposes.
(3) Acceptable Use Policy (AUP). It is prohibited to process unlawful content, infringe the rights of third parties, circumvent or violate the policies of X (Twitter) or other platforms, or engage in spam, deception, hate, discrimination, harassment or harmful activities.
5. Customer content; AI features; rights
(1) Customer data and user-generated content (UGC). The customer remains the owner of its content. For the term of the contract, it grants the Provider the rights of use necessary to provide the Service (storing, displaying, transmitting, processing, caching, displaying to team members, etc.).
(2) AI features and outputs. AI-generated outputs (texts, drafts) may be incorrect, incomplete or similar to third-party content. The customer is responsible for reviewing and correcting them and for compliance (in particular with trademark and copyright law, advertising and competition law, and the platform policies of X). No promise is made regarding legal compliance, regulatory compliance or success.
(3) Telemetry and quality. The Provider may collect technical usage and performance data (for example event and prompt IDs, error metrics) to operate and improve the Service. Personal data in this telemetry is kept to a minimum; details are set out in the privacy policy.
(4) Feedback. The Provider may use voluntary feedback and ideas free of charge, worldwide and without time limit to improve the Service.
6. Third-party providers and infrastructure
(1) The Service uses the following providers, among others: Stripe (payments), Supabase (database/storage), Vercel (hosting), customer.io (email/CRM), PostHog (analytics, only with consent), Langfuse (prompt/telemetry), Google OAuth, X OAuth. For details and data processing agreements, see the privacy policy and the vendor list.
(2) The Provider may use subcontractors and data processors. The Provider remains responsible to the customer.
(3) Third-party platform risks. Changes, restrictions or outages at X/Twitter, OAuth providers, payment providers or infrastructure providers may affect use of the Service; the Provider is not liable for these (see section 12).
7. Prices, plans, term, termination
(1) Prices, features and limits are shown on the website or order page; billing is handled through Stripe. Prices are exclusive of any applicable taxes.
(2) Term and renewal. Monthly and annual plans renew automatically for the same period unless cancelled before the end of the current period (through the account).
(3) Payment. Payment is due in advance for each billing period. The customer bears return debit and chargeback fees to the extent it caused them.
(4) Trials and promotions. Trial periods may be ended at any time. There is no entitlement to their continuation.
(5) Termination for good cause. Either party may terminate without notice if the other party cannot reasonably be expected to continue the contract (for example serious or persistent breaches of these Terms, misuse, payment more than 30 days overdue).
(6) Refunds. Unless mandatory law provides otherwise, billing periods that have already begun are not refundable.
8. Data export and deletion
(1) During the term of the contract, the customer can export its content in the formats provided by the Service.
(2) After the contract ends, the Provider deletes customer data within a reasonable period, unless statutory retention obligations apply (details: privacy policy). Backups are overwritten on a rolling basis.
9. Warranty
(1) The Service is provided in a condition suitable for use in accordance with the contract; there is no entitlement to any particular quality unless expressly promised.
(2) The Provider does not warrant any particular reach or performance on X (Twitter), any ranking or algorithm advantages, or the legal compliance of generated content without review by the customer.
10. Indemnification
The customer indemnifies the Provider against all third-party claims arising from (i) content provided by the customer, (ii) breaches of these Terms, (iii) infringements of third-party rights, or (iv) violations of the terms of use or policies of X (Twitter) or other platforms, including reasonable legal costs.
11. Availability, maintenance, changes
(1) Planned maintenance is carried out outside normal business hours where possible and is announced.
(2) The Provider may change or discontinue features if there are objective reasons for doing so (security, legal requirements, low usage, changes by third-party providers). Material adverse changes are announced in good time; in that case the customer has a special right to terminate as of the date of the change.
12. Liability
(1) Unlimited liability applies in cases of intent, gross negligence, injury to life, body or health, under the German Product Liability Act, and where a guarantee has been given.
(2) In cases of simple negligence, the Provider is liable only for breaches of essential contractual obligations (cardinal obligations), limited to the foreseeable damage typical for this type of contract; total liability per contract year is limited to the fees paid by the customer in that contract year, but at least EUR 5,000. Several cases of damage count as one damaging event if they have a common cause.
(3) For third-party platforms and providers (for example X/Twitter, OAuth providers, payment and infrastructure providers), the Provider is not liable for their availability, changes, API limits, suspensions, loss of data or features, or policy changes.
(4) The Provider is liable for loss of data only to the extent that the customer has backed up the data outside the application in machine-readable form; liability is limited to the cost of restoring it.
13. Confidentiality
The parties treat each other's confidential information as confidential and disclose it to agents and subcontractors only as far as necessary to perform the contract, and only if those agents and subcontractors are themselves bound to confidentiality.
14. Data protection
The privacy policy applies. It is not part of these Terms, but it refers to the statutory information obligations and describes data processing, recipients, transfers to third countries, etc.
15. Export control, sanctions, compliance
The customer confirms that it will not use the Service in sanctioned countries, for sanctioned persons or organizations, or for prohibited purposes, and that it will comply with all applicable export and trade controls.
16. Assignment, set-off
Rights and obligations under this contract may not be assigned without the other party's consent, except to affiliated companies within the group or as part of a transfer of business. Set-off is permitted only with undisputed claims or claims that have been finally established by a court.
17. Changes to these Terms
The Provider may change these Terms with effect for the future. Changes are announced at least 30 days in advance by email or in the app. If the customer does not object by the effective date and continues to use the Service, the changed Terms are deemed accepted (the customer is informed of its right to object and of its special right to terminate).
18. Free tools
(1) Scope. The free tools available at postel.app/free-tools and related paths ("Free Tools") can be used without registering. By using them, the user accepts this section 18 and, where applicable, the general provisions of these Terms.
(2) Provided without warranty. Free Tools are provided "as is", without warranty of availability, accuracy, completeness or fitness for a particular purpose. The Provider may change, restrict or discontinue Free Tools at any time without notice.
(3) AI and data outputs. Results may be generated by AI and/or derived from third-party sources (including platform APIs). AI and data outputs may be inaccurate, incomplete, out of date or misleading. Results may vary and are not guaranteed. Figures, estimates and KPIs are for information only and must be checked independently before being used as a basis for decisions.
(4) Prohibited use. In addition to section 4(3), it is prohibited to use Free Tools to: (a) spread false information, disinformation or misleading content; (b) create content that could be mistaken for genuine communication by third parties; (c) create fake social media posts, conversations or documents for fraudulent, defamatory or deceptive purposes; (d) circumvent the terms of use or policies of X (Twitter) or other platforms.
(5) Exclusion of liability. To the extent permitted by law, the Provider's liability for Free Tools is excluded. The user uses Free Tools at their own risk. The Provider is not liable for decisions, actions or damage made or caused on the basis of Free Tool outputs.
(6) Indemnification. The user indemnifies the Provider against all third-party claims arising from the use of Free Tools, in particular from misuse of the mockup and generation features.
(7) No affiliation with third-party platforms. Free Tools have no business relationship with X Corp., Twitter Inc., Meta, TikTok or other platforms. Trademarks and logos are the property of their respective owners.
(8) Consumers and businesses. Notwithstanding section 1(4), Free Tools may also be used by consumers. Mandatory consumer protection rules also apply to consumers; conflicting clauses apply only to the extent legally permitted.
19. Final provisions
(1) Governing law and place of jurisdiction. German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. The exclusive place of jurisdiction is Berlin, to the extent permitted.
(2) Severability. If individual provisions are or become invalid, the rest of the contract remains valid; the invalid provision is replaced by a provision that comes closest to its economic purpose.
Additional term: YouTube features
This term applies in addition to the General Terms and Conditions above. By using Postel's YouTube features, you agree to be bound by the YouTube Terms of Service.
